1. Introduction
EKFIX LLP ("we," "us," or "our") operates the websites ekfix.com and it’s subdomains hereafter referred to collectively as (the "Site"). By accessing or using the Site, you ("you" or "your") agree to be bound by these Terms of Use ("Terms"). Please read these Terms carefully before using the Site. If you do not agree with these Terms, do not access or use the Site.
2. Use of the Site
You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to use the Site:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms.
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm us or users of the Site or expose them to liability.
- To impersonate or misrepresent your affiliation with any person or entity.
- To interfere with or disrupt the operation of the Site or the servers or networks connected to the Site.
- To attempt to gain unauthorized access to any part of the Site or any other systems or networks
3. Intellectual Property
The content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of EKFIX LLP or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, modify, distribute, or display any of the content without our prior written consent.
4. User Content
The Site may allow you to submit or post content, such as comments or feedback ("User Content"). You are solely responsible for your User Content. By submitting User Content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute your User Content in any media.
You represent and warrant that you have all necessary rights to your User Content and that your User Content does not infringe the intellectual property rights or other rights of any third party.
5. Communications
By providing your email address through the Site, you agree that we may send you administrative and transactional emails. If you explicitly opt-in to marketing communications, we may also send you newsletters and promotional materials.
You may opt-out of receiving marketing emails at any time by following the unsubscribe instructions included in each email. Please note that even if you opt-out of marketing emails, we may still send you non-promotional communications, such as those about your account or our ongoing business relations.
6. Third-Party Services and Analytics
We use third-party services, such as Umami Analytics, Microsoft Clarity, and Tawk.to, to help us understand how users interact with our Site and provide real-time support. Umami Analytics is a privacy-first, cookieless tool that does not collect personal data. Microsoft Clarity captures behavioural metrics and session replays. Tawk.to facilitates live chat communications.
By using the Site, you acknowledge that these third-party services may process data about your use of the Site in accordance with their own privacy policies. We are not responsible for the data collection practices of these third parties, and we have executed Data Processing Agreements where applicable.

7. Disclaimer of Warranties

WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including attorneys' fees) arising out of your use of the Site or your breach of these Terms.

These Terms will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
11. Changes to these Terms
We may update these Terms at any time. We will post the revised Terms on the Site, and the revised Terms will be effective upon posting. Your continued use of the Site following the posting of revised Terms means that you accept the revised Terms.
12. Subscription Terms
- Subscription Plans: We offer various subscription plans for our software, with different features and pricing. Details of our current subscription plans are available on the Site.
- Subscription Term: Your subscription will continue for the term you select (e.g., monthly, annually) and will automatically renew unless you cancel your subscription before the end of the current term.
- Payment: You agree to pay the applicable subscription fees. We may use a third-party payment processor to handle payments
- Cancellation: You may cancel your subscription at any time by logging into your account and going to the subscription settings. Upon cancellation, you will lose access to the software at the end of the current billing cycle. No refunds will be provided for partial months or years
- Free Trials: We may offer free trials of our software. At the end of the free trial period, you will be automatically enrolled in a paid subscription plan unless you cancel before the end of the trial.
- • Changes to Subscription Terms: We reserve the right to change our subscription plans and pricing at any time. We will notify you of any changes in advance.
13. Data Security
- Data Protection: We take the security of your data seriously and implement reasonable technical and organizational measures to protect it from unauthorized access, use, or disclosure. These measures include encryption, firewalls and access controls.
- Data Responsibility You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Data Breach: In the event of a data breach, we will notify you as required by applicable law.
- • Data Retention: We will retain your data for as long as necessary to provide you with the services you have requested or as required by applicable law
- • Third-Party Processors: We may use third-party service providers to process your data. We carefully choose providers who have appropriate security measures in place

15. Service Level Agreement (SLA)
- Service Availability: We will make reasonable efforts to make the software available to you.
- Support: We will make best efforts to provide you with email support & phone support during 8am and 5pm WAT.
- Exclusions: This SLA does not apply to any downtime caused by scheduled maintenance, force majeure events, internet service provider issues and the like.
- • Remedies: If we fail to meet the service availability target, we will either extend your subscription or provide a service credit.
- Changes to SLA: We may update this SLA from time to time.
